“Presently, I have no timetable for my return to golf, but my treatments are continuing and going well.”
This will be the fourth-straight year Woods, 41, has skipped Bay Hill after winning the tournament in 2013.
The fallen great has dropped to No 713 after a run of serious injuries.
Agent Mark Steinberg added: “We’re not talking about an extended break."
The Invitational is set for an emotional week in the wake of Palmer's death.
A bronze statue is to be unveiled near the first tee and the great's cart will be parked behind the 16th tee - his favourite spot to watch.
Woods added that his two kids were born at the Winnie Palmer Hospital for Women & Babies.
He explained: “He will be greatly missed and can never truly be replaced.”
